Terms of Service

Effective date: 1 June 2025

By accessing or using XPay ("Platform"), provided by Optimasys Solutions, you agree to these Terms.

Use of the platform

You get a limited licence to use the Platform for accepting payments, invoicing, and reconciliation during your active merchant agreement. Reselling, reverse engineering, or misuse of the Platform is not permitted.

Your account

You are responsible for keeping your credentials secure and for all activity under your account. Notify us immediately at info@optimasyssolutions.com if you suspect unauthorised access.

Payment processing

You are responsible for ensuring transactions are lawful and payer-authorised. XPay facilitates payments but does not guarantee settlement where a transaction is declined or reversed by a provider.

Your data

You own your merchant and transaction data. We process it only to provide the payment and reconciliation service.

Fees & payment

Standard fees are 2.5% on payments and 1.75% on invoices, paid by the customer. Self-hosted deployments may carry separate costs. We may update fees with 30 days' notice.

Intellectual property

The Platform and its content remain the exclusive property of Optimasys Solutions.

Liability

The Platform is provided "as is." Optimasys Solutions is not liable for indirect damages, including losses from third-party payment delays or declines. Liability is capped at fees paid in the preceding three months.

Termination

Either party may terminate with 30 days' notice. We may suspend access immediately for breach, non-payment, or suspected fraud. Data remains exportable for 30 days after termination.

Governing law

These Terms are governed by the laws of the Republic of Zimbabwe.
